Creator Payout Schedule

1. Scope and controlling terms

This Creator Payout Schedule ("Schedule") forms part of the MedaStaré Creator Program Terms and states the current commercial parameters used to calculate and administer Creator Payouts under the StarGift program.

Capitalized terms not defined here have the meanings given in the Creator Program Terms. If this Schedule conflicts with the Creator Program Terms regarding a numerical rate, threshold or timing parameter that the Creator Program Terms expressly assign to this Schedule, this Schedule controls for that parameter.

The version of this Schedule in effect when a StarGift is received determines the Platform Fee and other prospective commercial parameters applicable to that StarGift, except where applicable law requires otherwise.

3. Creator Payout formula

For each eligible StarGift:

1. the consumer purchases the StarGift through the applicable app-store billing flow;
2. the applicable store deducts its actual commission, service fee and any amounts it is responsible for deducting or remitting under its rules;
3. the amount MedaStaré actually receives for the StarGift after the applicable Store Commission becomes the Net Proceeds for purposes of the Creator Program;
4. MedaStaré retains the 25% Platform & Program Services Fee from Net Proceeds; and
5. the remaining 75% of Net Proceeds is the Creator Payout before any later adjustment permitted by the Creator Program Terms, including a refund, reversal, chargeback, fraud finding, tax withholding, offset or other expressly authorized adjustment.

The formula is therefore:

Creator Payout = (Consumer Purchase Price − actual applicable Store Commission and store-controlled transaction deductions included in the Net Proceeds calculation) × 75%.

The Creator does not acquire a right to the consumer's gross purchase price, to the Store Commission, or to any specific funds held or received by MedaStaré. The Creator's right is the contractual right to the Creator Payout calculated under the Creator Program Terms and this Schedule.

4. Platform & Program Services Fee

The current Platform & Program Services Fee is 25% of Net Proceeds.

The fee is MedaStaré's commercial compensation for providing, operating, maintaining and supporting the StarGift and Creator monetization ecosystem. The services and infrastructure supported by the fee include, as applicable:

• StarGift and Creator monetization infrastructure;
• platform access, distribution and Creator discovery functionality;
• content hosting, delivery and related platform operations;
• moderation and trust-and-safety operations;
• Creator and customer support;
• fraud, refund, reversal and chargeback administration;
• Creator payout operations and related program administration;
• compliance and risk-management administration; and
• ongoing development, maintenance and operation of the Creator platform.

The Platform Fee is not presented as reimbursement of MedaStaré's exact costs and does not represent that MedaStaré's costs equal 25% of Net Proceeds. It is the agreed commercial price for MedaStaré's platform and program services.

The Platform Fee is separate from any Store Commission charged by Apple or Google and separate from any tax withholding, refund, reversal, chargeback or other adjustment authorized under the Creator Program Terms.

5. Worked examples

The following examples are illustrative only. StarGift prices are variable and may change. Actual store commissions and other store-controlled deductions can also vary by platform, storefront, program, territory and transaction. A US$10 StarGift and a 15% or 30% Store Commission are examples only, not contractual fixed prices or fixed fee rates.

These examples do not promise that any particular Apple or Google rate will apply. The actual transaction record and applicable store terms determine Net Proceeds.

6. Pending balances, holds and reserves

An eligible Creator Payout initially appears as a pending contractual balance and is subject to the standard 30-day hold period stated in Section 2.

The hold exists to permit transaction validation, store settlement reconciliation, refund and reversal processing, chargeback handling, fraud review, eligibility verification and other program controls permitted by the Creator Program Terms. A hold is not a second Platform Fee and does not, by itself, transfer an otherwise valid Creator Payout to MedaStaré.

At launch, MedaStaré also applies a reserve equal to 10% of the Creator Payout, held for 60 days. The reserve is a temporary risk-control mechanism, not an additional Platform Fee, penalty or automatic forfeiture. Subject to any valid refund, reversal, chargeback, fraud adjustment, offset, tax withholding or legal restriction, the reserved amount is released into the Creator's available balance when the applicable reserve period expires.

The 30-day standard hold and 60-day reserve run from the same date the relevant Creator Payout is first recorded as pending; they are not automatically stacked into a 90-day hold. Subject to all other eligibility conditions, up to 90% of the Creator Payout may become available after the 30-day hold, while the reserved 10% remains subject to the 60-day reserve period.

A Creator-specific longer hold or larger reserve may be applied only as permitted by the Creator Program Terms, including where reasonably justified by fraud risk, refund or dispute history, verification status or comparable program risk.

Pending and reserved amounts are contractual payout calculations and are not bank deposits, electronic money, stored value, trust funds or wallet balances held for the Creator.

7. Payout timing and threshold

At launch, MedaStaré processes eligible available balances on a monthly payout cadence. "Monthly" means one regular payout cycle per calendar month; it does not guarantee that funds will arrive in a Creator's bank account on a particular calendar date.

MedaStaré may move to a more frequent payout cadence prospectively as transaction volume grows. Any material change is governed by Section 11 and the Creator Program Terms.

A payout is issued only when the Creator's available balance meets or exceeds the current US$25 minimum payout threshold (or the applicable payout-currency equivalent). If the threshold is not met, the available balance rolls forward to a later payout cycle, subject to the Creator Program Terms and applicable law.

Payouts are made through the Creator's supported Stripe Connect payout destination. The Creator must maintain accurate, complete and verified payout information.

Ordinary Stripe payout or processing fees charged to MedaStaré for the standard supported payout flow are treated as part of MedaStaré's Platform & Program Services Fee and are not separately deducted from the Creator Payout. Extraordinary third-party charges attributable to a Creator-specific payout route or payout failure may be passed through only as described in Section 2, with any disclosure required by applicable law.

Banking-network timing, Stripe processing, weekends, holidays, sanctions review, verification requirements and other provider or legal processes may affect the date funds actually arrive after MedaStaré initiates a payout.

8. Refunds, reversals and offsets

If an underlying StarGift is refunded, reversed, charged back, determined to be unauthorized or tied to confirmed fraud or prohibited activity, the associated Creator Payout may be reduced, removed, reversed, withheld, offset or recovered as provided in the Creator Program Terms.

A reversal is not treated as an additional Platform Fee or penalty. It reflects the loss or invalidation of the underlying transaction or another adjustment expressly permitted by the Creator Program Terms.

If a paid-out amount becomes recoverable, MedaStaré may offset that amount against future Creator Payouts or use another recovery method permitted by the Creator Program Terms and applicable law.

The current de minimis direct-recovery threshold is US$5. MedaStaré ordinarily will not initiate direct collection from a Creator solely for an individual net recovery shortfall below US$5. This threshold does not make an invalid transaction valid, does not prevent correction of accounting records, and does not prevent lawful netting or offset where the Creator later has amounts otherwise payable.

9. Payout disputes

A Creator who disputes a withholding, offset, reversal, payout suspension, reserve adjustment or other covered payout decision should submit the dispute within 30 days from the date the relevant payout statement or decision is made available or communicated to the Creator.

After that period, MedaStaré may treat the relevant statement or decision as accepted for ordinary program-administration purposes, except where there is manifest error, fraud, a later store reversal, or applicable law provides a longer or non-waivable right. The dispute process, review standard and response timing are otherwise governed by the Creator Program Terms.

10. Account deletion and verification

If a Creator voluntarily deletes a MedaStaré account while an eligible balance remains unpaid, the Creator has 90 days after account deletion or MedaStaré's final verification notice, whichever is later, to complete outstanding Stripe verification reasonably required for an otherwise eligible final payout, subject to the Creator Program Terms and applicable law.

Amounts that cannot lawfully be paid or remain unclaimed after the applicable period are handled under the Creator Program Terms and applicable unclaimed-property law. MedaStaré does not automatically convert an otherwise valid unpaid Creator balance into its own revenue merely because the Creator account was deleted.

11. Changes to this Schedule

MedaStaré may change this Schedule prospectively as permitted by the Creator Program Terms. A material change to the Platform Fee, hold period, reserve, payout cadence, minimum threshold or another material commercial parameter will be communicated in accordance with the notice requirements in the Creator Program Terms.

A prospective change does not retroactively reduce a Creator Payout already calculated for a StarGift received before the effective date of that change, except where an adjustment is separately permitted for refund, reversal, fraud, legal compliance or another reason under the Creator Program Terms.
