Terms of Use

1. Agreement and scope

These Terms of Use form a binding agreement between you and MedaStaré Inc. concerning your access to and use of the MedaStaré website, mobile application and related services. By creating an account, accessing a feature, purchasing a subscription or otherwise using the Service, you accept these Terms and acknowledge the Privacy Policy.

Separate terms may apply to subscriptions, campaigns, creator relationships, business partnerships, beta features, community functions or another specific offering. The specific terms control only for that offering.

2. Eligibility

You must be at least 18 years old and legally capable of entering into this agreement. You may not use the Service where access or use is prohibited by law. If you use the Service for an organization, you represent that you are authorized to bind that organization.

MedaStaré may request information reasonably necessary to confirm eligibility, comply with law or protect the Service.

3. Account responsibilities

• Provide accurate and current account information.
• Protect your password, authentication methods and devices.
• Do not share, sell or transfer an account without permission.
• Notify support promptly of suspected unauthorized access.
• Accept responsibility for activity occurring through your account unless caused by MedaStaré or a matter for which responsibility cannot legally be assigned to you.

MedaStaré may require reauthentication, suspend risky sessions or take protective action when account security is reasonably in doubt.

4. Limited license to use the Service

Subject to these Terms, MedaStaré grants you a personal, limited, revocable, nonexclusive and nontransferable right to access and use the Service for lawful personal use on devices that you own or control and as permitted by applicable platform usage rules.

The Service is licensed, not sold. No ownership of the software, brand, models, prompts, workflows, databases, designs or other MedaStaré property is transferred to you.

5. Service features and availability

MedaStaré may provide fashion intelligence, wardrobe organization, style guidance, visual analysis, creative generation, conversational assistance, beauty appearance guidance, body aware styling, editorial content, challenges and other features. Feature availability, limits and names may vary by subscription, country, device, version, safety assessment and technical capacity.

Roadmaps, previews, waitlists, concept descriptions and launch statements are informational and do not create a binding obligation to release a feature. MedaStaré may improve, replace, restrict, pause or discontinue a feature where reasonably necessary. Paid users will retain the benefit of mandatory consumer protections.

6. AI features and outputs

AI features create probabilistic outputs from user instructions, selected media and contextual information. Outputs may be inaccurate, incomplete, repetitive, inappropriate, biased or unsuitable. You must review an output before relying on it, publishing it or using it to make a decision.

• AI output is not guaranteed to be unique and similar output may be generated for other users.
• MedaStaré does not guarantee that an output is free from third party rights. Users must review intended commercial or public use.
• Do not use AI output to impersonate another person, mislead the public, violate rights or create unlawful content.
• MedaStaré may apply safety filters, usage limits, moderation and technical restrictions.
• External AI processing is subject to the AI Data Processing Notice and the specific consent shown before a qualifying transfer.

7. No medical or regulated advice

MedaStaré provides fashion, styling, appearance, cosmetic beauty and general informational guidance. It does not provide medical diagnosis, treatment, emergency advice, dermatology, mental health care, nutrition, legal, tax, investment or other regulated professional advice.

A beauty or body related output must not be used to diagnose a condition or replace a qualified professional. Seek appropriate professional help for health concerns or emergencies.

8. User content and permissions

You retain ownership of photos, videos, wardrobe items, prompts, messages, notes and other content that you submit, subject to any rights held by another person.

You grant MedaStaré a limited, worldwide, royalty free license to host, reproduce, adapt, transmit, process and display your content only as reasonably necessary to operate, secure, improve and provide the requested Service, comply with your sharing settings, answer support requests, enforce these Terms and comply with law. This license ends when the content is deleted from active systems, except for lawful retention, backup rotation and rights that must survive to complete an earlier authorized action.

MedaStaré does not acquire ownership of private user content. A separate affirmative choice is required before private content is used to train a generally available MedaStaré model.

You represent that you have the rights and permissions needed to submit the content and authorize the processing described. Do not upload content that belongs to another person without permission.

9. Content standards

• Content must be lawful and must not exploit, abuse, threaten, harass, defame or discriminate against another person.
• Content must not contain sexual exploitation, child sexual abuse material, nonconsensual intimate material, trafficking, terrorism support, unlawful weapons instructions or other seriously harmful content.
• Content must not infringe copyright, trademark, privacy, publicity, image, personality or contractual rights.
• Content must not impersonate another person or falsely claim endorsement by a celebrity, brand or organization.
• Content must not contain malware, credential theft, scams, fraudulent promotions or attempts to bypass security.

MedaStaré may block, remove, preserve or report content where reasonably necessary for safety, legal compliance or enforcement. Community features are also subject to the Community Guidelines when enabled.

10. Prohibited use

• Scrape, crawl, harvest, mirror, frame or systematically extract the Service or its content without written authorization.
• Use MedaStaré content, outputs, prompts, workflows or protected materials for model training, dataset creation, benchmarking, competing services or commercial extraction without written authorization.
• Reverse engineer, decompile, disassemble, bypass, probe or attempt to discover source code, model logic, private prompts, security controls or technical architecture except where mandatory law expressly permits it.
• Interfere with availability, rate limits, access controls, authentication, moderation or security.
• Use automated accounts, bots or deceptive techniques to manipulate challenges, engagement, subscription benefits or recommendations.
• Resell, sublicense, rent, transfer or commercially exploit access to the Service without a written agreement.
• Use the Service in violation of sanctions, export controls, privacy law, consumer law or another applicable requirement.

11. MedaStaré intellectual property

The Service, brand identity, software, interfaces, designs, copy, databases, selection and arrangement of content, proprietary methods and all related intellectual property are owned by or licensed to MedaStaré Inc.

MedaStaré, MedAI, Closeté, MedaVision, EraFusion, FashionStare, MedaBody AI, StyleTrack, MuseMatch, MedaStaré Edit, MedArena and associated names, logos, visual signatures and product identifiers are proprietary brand assets whether or not registration is complete. No trademark, distribution, franchise, investment, reseller or partnership right is granted by access to the Service.

You may not remove rights notices or use MedaStaré branding in a way that suggests endorsement, affiliation or authorization without written permission.

12. Subscriptions and purchases

Digital subscriptions and purchases offered in the iOS application are processed through Apple In App Purchase unless the applicable storefront and law permit another method that MedaStaré has expressly enabled. The price, period, trial, renewal date and included benefits shown in the purchase interface at confirmation control the transaction.

• Subscriptions renew automatically unless canceled through the Apple account settings before the renewal is processed.
• Deleting the MedaStaré account does not automatically cancel an Apple managed subscription.
• Restore Purchases is provided for eligible purchases connected with the same Apple account.
• Upgrades, downgrades, billing retry, grace periods, refunds and family access are governed by the product configuration, Apple terms and applicable law.

13. Third party services and content

The Service may connect with Apple, AI providers, identity providers, websites, cloud services, weather services or other third party services. MedaStaré does not control independent third party terms, content or security. Your use of an independent service may be governed by that provider terms and privacy policy.

Third party references do not imply sponsorship or endorsement. You are responsible for complying with the terms that apply to your device, network and third party account.

14. Apple specific terms

For the iOS application, you acknowledge that these Terms are between you and MedaStaré, not Apple. MedaStaré is responsible for the application and its content. Apple has no obligation to provide maintenance or support for the application.

Your license is limited to a nontransferable right to use the application on Apple branded products that you own or control, as permitted by Apple usage rules, including any permitted Family Sharing or volume purchasing access.

To the extent required by applicable law and Apple terms, MedaStaré is responsible for product claims, legal compliance and intellectual property claims relating to the application. If the application fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price where required by Apple terms. Apple has no other warranty obligation to the maximum extent permitted by law.

Apple and its subsidiaries are third party beneficiaries of this section and may enforce the applicable provisions against you. You must comply with applicable third party terms while using the application.

15. Feedback

If you voluntarily provide ideas, suggestions or feedback, you grant MedaStaré a perpetual, worldwide, irrevocable, royalty free right to use and commercialize that feedback without restriction or compensation. Do not submit confidential information or an idea that you are not authorized to provide. This section does not transfer ownership of your private account content.

16. Suspension and termination

MedaStaré may investigate, restrict, suspend or terminate access where reasonably necessary because of a breach, fraud, abuse, nonpayment, legal requirement, safety concern, security risk, rights complaint, sanctions obligation, technical threat or material harm to the Service or another person.

Where appropriate and legally required, MedaStaré will provide notice and an opportunity to appeal. Immediate action may be taken when delay could create risk. Sections concerning ownership, licenses needed to complete prior processing, payment obligations, disclaimers, liability, dispute rules and general provisions survive termination to the extent necessary.

17. Account deletion

You may initiate account deletion in the application. Deletion removes the account and associated personal data from active systems subject to legal retention, security, dispute and backup exceptions. Details are provided on the Account and Data Deletion page.

18. Copyright and rights complaints

A person who believes that content infringes copyright, trademark, privacy, publicity or another right may send a detailed notice to support@medastare.com. The notice should identify the protected work or right, the challenged material, its location, contact information, the basis of the claim and a statement of accuracy and authority.

MedaStaré may request additional information, remove or restrict material, notify the affected user and provide an appeal where appropriate. Knowingly false notices may create liability. See the Copyright and Content Policy.

19. Service changes and electronic notices

MedaStaré may update the Service and these Terms. Material changes will receive notice as required by law. Continuing to use the Service after the effective date means acceptance where permitted. If you do not agree, stop using the Service and cancel any future renewal.

You agree to receive operational and legal notices electronically through the app, email or website. Marketing communications require the applicable preference and may be unsubscribed from.

20. International use and trade compliance

The Service may not be available or lawful in every country. You are responsible for compliance with local law. You may not use, export, reexport, transfer or make the Service available in a manner that violates sanctions, embargoes, export controls or restricted party rules applicable to you or MedaStaré.

21. Disclaimers

To the maximum extent permitted by law, the Service is provided as is and as available. MedaStaré disclaims warranties and conditions that may lawfully be disclaimed, including implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, availability and uninterrupted operation.

MedaStaré does not promise that every feature will be available, error free, secure, compatible, unique or suitable for a particular purpose. Nothing in this section excludes a warranty or consumer right that cannot legally be excluded.

22. Limitation of liability

To the maximum extent permitted by law, MedaStaré and its directors, officers, employees, contractors, licensors and service providers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, loss of profits, loss of opportunity, loss of goodwill or loss of data arising from the Service, even if the possibility was known.

To the maximum extent permitted by law, MedaStaré total aggregate liability arising from the Service or these Terms will not exceed the greater of one hundred United States dollars or the amount paid by you to MedaStaré for the Service during the twelve months before the event giving rise to the claim.

The limitations do not apply to liability that cannot legally be limited, including liability for fraud, willful misconduct or another category protected by mandatory law. Some jurisdictions do not permit certain exclusions, so the limitations apply only to the extent permitted.

23. Indemnity

To the extent permitted by law, you agree to defend and indemnify MedaStaré and its affiliates, officers, employees and contractors from third party claims, losses and reasonable costs arising from your unlawful content, your violation of another person rights, your fraud or willful misconduct, or your material breach of these Terms. This obligation does not apply to the extent a claim was caused by MedaStaré or where consumer law prohibits the obligation.

24. Governing law and disputes

These Terms and noncontractual claims relating to the Service are governed by the laws of the State of Delaware, United States, without regard to conflict rules, except that mandatory consumer protections of your usual residence remain applicable.

Before filing a claim, you and MedaStaré agree to make a good faith effort to resolve it by written notice to support. Subject to mandatory rights and jurisdiction rules, state and federal courts located in Delaware have exclusive jurisdiction. Nothing prevents either party from seeking urgent relief to protect security or intellectual property, or from using a small claims process where available.

These Terms do not require arbitration and do not waive a right to participate in a class proceeding where such a waiver would require separate consent or would be unenforceable.

25. General terms

• These Terms, the Privacy Policy, Subscription Terms and applicable specific terms form the entire agreement for the relevant Service.
• If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions remain effective.
• A delay in enforcing a right is not a waiver.
• You may not assign these Terms without written consent. MedaStaré may assign them in connection with a merger, financing, reorganization or sale, subject to applicable law.
• MedaStaré is not responsible for delay caused by events beyond reasonable control, including infrastructure failure, natural disaster, war, labor disruption, public health event, government action or third party outage.
• English is the controlling version to the extent permitted by law. A legally required local language version may control in its jurisdiction.
