Terms of Use

1. Agreement and scope

These Terms of Use form a binding agreement between you and MedaStaré Inc. concerning your access to and use of the MedaStaré website, mobile applications and related services (collectively, the Service).

By creating an account, accessing a feature, submitting content, participating in a community function, purchasing a digital product or subscription, or otherwise using the Service, you agree to these Terms and acknowledge the Privacy Policy.

Feature-specific terms, Official Rules, creator terms, campaign agreements or other written terms may apply to a particular activity. If those specific terms conflict with these Terms, the more specific terms control for that activity only.

2. Eligibility and age

The Service is intended only for people who are at least 18 years old and legally capable of entering into this agreement. You may not create an account or use the Service if you are under 18.

You may not use the Service where access or use is prohibited by applicable law. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to the applicable terms.

MedaStaré may request information reasonably necessary to confirm age, eligibility, identity, prize eligibility, creator payout eligibility, compliance obligations or account security. Any such processing is subject to the Privacy Policy and applicable feature-specific notice.

3. Account responsibilities

• Provide accurate and current information where the Service requests it.
• Protect your password, authentication methods and devices.
• Do not share, sell, rent or transfer an account without MedaStaré's written permission.
• Do not create an account for another person without lawful authority.
• Notify MedaStaré promptly if you reasonably suspect unauthorized access or account compromise.
• Use only payment, creator, tax or identity information that you are authorized to provide.

You are responsible for activity through your account to the extent permitted by law, except where the activity results from MedaStaré's breach, a platform failure for which you are not responsible, or another matter that cannot legally be assigned to you.

MedaStaré may require reauthentication, restrict a risky session or take proportionate protective action when account security is reasonably in doubt.

4. Limited license to use the Service

Subject to these Terms and any applicable store or platform rules, MedaStaré grants you a personal, limited, revocable, nonexclusive and nontransferable right to access and use the Service for lawful purposes on devices you own or control.

The Service is licensed, not sold. No ownership of MedaStaré software, source code, interfaces, prompts, workflows, models, databases, product logic, designs or other proprietary material is transferred to you.

MedaStaré may revoke or restrict this license when your access lawfully ends or is suspended under these Terms.

5. Features and availability

MedaStaré may provide fashion intelligence, wardrobe organization, style guidance, visual analysis, conversational assistance, appearance and beauty guidance, body-aware styling, creative generation, social profiles, community content, matching, challenges, rankings, rewards, creator tools and other features.

Feature names, limits, models, outputs, eligibility, availability and subscription access may differ by device, country, store, account type, subscription tier, safety assessment, capacity or product version.

Roadmaps, previews, waitlists, prototypes, concept descriptions and launch announcements are informational unless MedaStaré expressly states otherwise in a binding offer. MedaStaré may improve, replace, restrict, pause or discontinue features where reasonably necessary, subject to mandatory consumer rights and any obligations attached to a paid purchase.

6. AI features and outputs

AI features generate probabilistic outputs from prompts, selected media, user preferences and other context. Outputs may be inaccurate, incomplete, repetitive, biased, unsuitable or inconsistent. You should review an output before relying on it, publishing it or using it to make a decision.

• AI outputs are not guaranteed to be unique and similar outputs may be generated for different users.
• MedaStaré does not guarantee that every output is free from third-party intellectual-property or other rights.
• You may not use AI features or outputs to impersonate another person, commit fraud, deceive the public, violate rights or create unlawful content.
• MedaStaré may apply moderation, safety filters, model restrictions, rate limits and technical controls.
• External AI processing is subject to the AI Data Processing Notice and any feature-specific consent shown before a qualifying transfer.

Where an AI provider changes, MedaStaré may change the model or provider without changing these Terms if the change does not materially alter the user's contractual rights. Privacy and consent disclosures will be updated where required.

7. No medical or regulated advice

MedaStaré provides fashion, styling, appearance, cosmetic beauty and general informational features. The Service does not provide medical diagnosis, treatment, emergency services, dermatology, mental-health care, nutrition advice, legal advice, tax advice, investment advice or other regulated professional services.

A body, beauty, skin, cycle or appearance-related output must not be used to diagnose or treat a condition or replace a qualified professional. If you have a health concern or emergency, seek appropriate professional assistance.

8. Social and community features

MedaStaré may allow users to create profiles, post or share content, follow other users, react to content, participate in StarDay or other community experiences, share Star Cards, enter challenges, report content and block other users.

You control whether content is shared publicly, privately or with a limited audience only to the extent the relevant feature provides those controls. Once content is shared publicly or sent to another person, other users may view, save, screenshot, repost or otherwise copy it outside MedaStaré's control.

MedaStaré may provide reporting, blocking and moderation tools and may use automated and human review to address safety, abuse, fraud and policy violations. Reporting content does not guarantee a particular enforcement outcome.

MedaStaré does not guarantee the identity, conduct, background, intentions or accuracy of statements made by another user. Use appropriate judgment when interacting with people you do not know and do not send money, passwords, full financial credentials or other sensitive information to another user based solely on an in-app interaction.

9. StaréMatch

StaréMatch is a community and compatibility feature designed to connect eligible users based on style, profile, preference or other product signals. It is not represented by MedaStaré as a dating service.

A match is a product recommendation, not a guarantee of friendship, compatibility, identity, response, availability or safety. MedaStaré does not guarantee that a suitable match will always be available, that every match will be new, or that a user will choose to interact after a match is presented.

Matching logic may change as the community grows and as MedaStaré improves relevance, safety and fairness. Users may block or report other users through available controls. Attempts to manipulate matching, create deceptive profiles, harass users or evade blocks are prohibited.

10. User content and permissions

You retain ownership of photos, videos, wardrobe items, prompts, messages, notes, profile information and other original content you submit, subject to rights held by other people.

You grant MedaStaré a limited, worldwide, royalty-free license to host, reproduce, process, adapt technically, transmit and display your content only as reasonably necessary to operate, secure and provide the Service, honor your sharing settings, generate requested outputs, provide support, moderate content, enforce these Terms and comply with law.

For content that you intentionally publish to a public MedaStaré feature, the license also includes displaying, ranking, recommending and redistributing that content within the Service as reasonably necessary for the public/community feature to function.

MedaStaré does not obtain ownership of your private content. Private account content will not be used by MedaStaré to train a generally available MedaStaré model without a separate affirmative choice.

Use of your content outside the Service for an unrelated advertising campaign, paid endorsement or external brand promotion requires a separate legal basis or permission unless another written agreement expressly provides those rights.

You represent that you have the rights and permissions necessary to submit the content and authorize the processing described in these Terms. Do not upload another person's private or protected content without permission.

11. Community and content standards

You may not post, generate, transmit or use the Service for content or conduct that:

• is unlawful, fraudulent, threatening, abusive, harassing, defamatory or deliberately deceptive;
• promotes discrimination, exploitation, trafficking, terrorism or serious unlawful violence;
• contains child sexual abuse material, sexual exploitation, nonconsensual intimate content or other prohibited sexual content;
• infringes copyright, trademark, privacy, publicity, image, personality, confidentiality or contractual rights;
• impersonates another person or falsely suggests endorsement by a person, creator, celebrity, brand or organization;
• contains scams, phishing, credential theft, malware, malicious code or attempts to bypass account or payment security;
• harasses another user after a block, report or clear request to stop contact; or
• otherwise creates a material safety, legal or platform-integrity risk.

MedaStaré may remove, restrict, preserve or report content where reasonably necessary for safety, legal compliance, rights protection or enforcement. Community Guidelines or feature-specific rules may provide additional standards.

12. MedArena, challenges and rewards

MedaStaré may offer MedArena challenges, rankings, badges, rewards, competitions or promotional events. Not every MedArena activity includes a monetary or other prize.

Any activity offering a prize or reward may be governed by separate Official Rules. The applicable Official Rules will control eligibility, entry method, geographic availability, deadline, prize or reward, winner-selection method, judging or scoring process, verification requirements, award timing, taxes, disqualification, tie-breaking, publicity permissions and any legally required alternative entry method.

Participation in a challenge does not guarantee a prize, ranking, badge, reward or selection. Rankings or preliminary scores may be generated or assisted by automated systems and may be reviewed, corrected or invalidated where reasonably necessary to address error, manipulation, ineligibility or fraud.

MedaStaré may require identity, age, residency, tax or eligibility verification before issuing a reward. Failure to complete a lawful and proportionate verification step may result in forfeiture where the Official Rules permit it.

You may not use bots, fake accounts, coordinated manipulation, purchased engagement, duplicate entries, deceptive content or technical exploits to influence a challenge, ranking or winner selection.

13. Prohibited use and manipulation

• Scrape, crawl, harvest, mirror, frame or systematically extract the Service or its content without written authorization.
• Use protected MedaStaré materials, prompts, workflows, outputs or proprietary data for unauthorized model training, dataset creation, benchmarking, competing services or commercial extraction.
• Reverse engineer, decompile, disassemble, bypass, probe or attempt to discover source code, private prompts, nonpublic model logic, security controls or technical architecture except where mandatory law expressly permits it.
• Interfere with availability, rate limits, authentication, moderation, anti-fraud controls, subscriptions, entitlements, rankings or security.
• Use bots, scripts, fake users, deceptive traffic or coordinated behavior to manipulate engagement, StaréMatch, MedArena, StarGift, creator metrics, rewards, recommendations or subscription benefits.
• Resell, sublicense, rent, transfer or commercially exploit access to the Service without a written agreement.
• Use the Service in violation of sanctions, export controls, privacy law, consumer law, intellectual-property law or another applicable requirement.

14. MedaStaré intellectual property

The Service, software, interfaces, designs, visual systems, databases, selection and arrangement of content, proprietary workflows and other MedaStaré materials are owned by or licensed to MedaStaré Inc. and are protected to the extent provided by applicable law.

MedaStaré, MedAI, StaréMatch, MedArena, StarDay, StarGift, StyleTrack and associated names, logos and product identifiers may be trademarks, service marks or proprietary brand assets of MedaStaré or its licensors. Access to the Service does not grant a trademark, franchise, reseller, distribution, investment, partnership or agency right.

You may not remove proprietary notices or use MedaStaré branding in a way that falsely suggests endorsement, affiliation, authorization or sponsorship.

15. Subscriptions and digital purchases

Digital subscriptions and in-app purchases may be offered through the Apple App Store, Google Play or another payment method that MedaStaré lawfully makes available for the applicable product and platform.

The price, billing period, trial or introductory offer, renewal terms, included benefits and material purchase terms shown in the purchase interface at the time of confirmation form part of the transaction.

• Store-managed subscriptions renew automatically unless canceled through the applicable store before renewal is processed, subject to store rules and applicable law.
• Deleting a MedaStaré account does not automatically cancel a store-managed subscription.
• Eligible purchases may be restorable using the store account associated with the original transaction where the platform supports restoration.
• Upgrades, downgrades, billing retry, grace periods, refunds, revocations and other store billing events are subject to the applicable storefront rules, MedaStaré's product configuration and mandatory law.

16. StarGift and creator programs

MedaStaré may offer StarGift, creator monetization, creator rewards or related creator-program functionality. These features are subject to separate buyer-facing and creator-facing terms that may be presented before purchase, enrollment, earning or payout.

These Terms do not establish a creator's payout percentage, payout schedule, reserve, minimum payout, tax treatment, refund allocation or entitlement calculation. Those financial terms are governed by the applicable Creator Program & Payout Terms and any feature-specific StarGift terms in effect when the relevant activity occurs.

Where creator payouts are offered, identity, tax, business or financial verification may be required through Stripe Connect or another disclosed provider. Failure to complete required verification may delay or prevent payout where permitted by the applicable creator terms and law.

MedaStaré may reverse, withhold, offset or investigate creator amounts only where authorized by the applicable creator terms, transaction status, refund/reversal rules, fraud controls or law.

17. Third-party services

The Service may interact with Apple, Google, Stripe, AI providers, cloud services, identity services, analytics providers, weather services, geocoding providers or other third parties.

Independent third parties may apply their own terms and privacy notices. MedaStaré does not control an independent provider's separate account, platform, content or legal obligations. References to a third party do not by themselves imply endorsement or sponsorship.

18. Apple platform terms

If you obtain or use the iOS application through Apple, your use is also subject to Apple's applicable App Store and device rules.

Unless MedaStaré expressly provides a custom end-user license agreement through Apple, Apple's standard licensed-application end-user license agreement applies to the iOS application. These website Terms govern the broader MedaStaré Service and do not reduce rights or obligations imposed by Apple's applicable standard license.

To the extent these Terms apply alongside Apple's standard license, you acknowledge that MedaStaré, not Apple, is responsible for the MedaStaré Service, product support and claims relating to MedaStaré's application except to the extent Apple assumes a responsibility under its own terms or applicable law.

Apple and its subsidiaries may be third-party beneficiaries of applicable application-license provisions to the extent required by Apple's terms.

19. Google Play terms

If you obtain or use the Android application through Google Play, your use is also subject to the applicable Google Play terms, policies and billing rules.

Google Play may manage purchase processing, subscription cancellation, refund handling, entitlement events and store-account information independently under Google's applicable terms. MedaStaré remains responsible for its application, content and obligations that applicable law or Google Play rules place on the developer.

Where a Google Play subscription is offered, MedaStaré will provide access to an appropriate subscription-management or cancellation path as required by the applicable Google Play rules.

20. Feedback

If you voluntarily provide product ideas, suggestions or general feedback, you grant MedaStaré a perpetual, worldwide, irrevocable, royalty-free right to use and commercialize that feedback without restriction or compensation.

This does not transfer ownership of your private account content and does not apply to confidential information that MedaStaré has separately agreed in writing to protect as confidential.

21. Moderation, suspension and termination

MedaStaré may investigate, restrict, remove content from, suspend or terminate access where reasonably necessary because of a material breach, fraud, manipulation, abuse, nonpayment, legal requirement, safety concern, security risk, rights complaint, sanctions obligation, creator-program violation or material harm to the Service or another person.

Where appropriate and legally required, MedaStaré will provide notice, reasons or an opportunity to appeal. Immediate action may be taken when delay could create material safety, fraud, security or legal risk.

MedaStaré may preserve limited records of enforcement, reports, fraud, abuse or disputes where reasonably necessary for safety, legal compliance, repeat-abuse prevention or legal claims.

Termination of a general MedaStaré account does not by itself erase payment, refund, creator payout, tax, prize, legal or other obligations that survive under applicable specific terms or law.

22. Account deletion

You may initiate account deletion through the application or use the external deletion process described on the Account and Data Deletion page.

Deletion removes the MedaStaré account and associated active account data covered by the deletion workflow, subject to limited legal, transaction, security, fraud, moderation, dispute and provider-recovery exceptions.

23. Copyright and rights complaints

If you believe content on the Service infringes copyright, trademark, privacy, publicity, image, personality or another legal right, send a detailed notice to support@medastare.com.

The notice should identify the right or protected work, the challenged material, its location, your contact information, the basis of the claim and a statement that the information provided is accurate and that you are authorized to submit the notice.

MedaStaré may request additional information, remove or restrict material, notify the affected user, preserve evidence and provide an appeal or counter-process where appropriate. Knowingly false or abusive notices may create liability under applicable law.

24. Changes and electronic notices

MedaStaré may update the Service and these Terms to reflect product, legal, security or operational changes. Material changes will receive notice where required by law.

Where applicable law requires renewed consent rather than notice alone, MedaStaré will request that consent before the relevant new processing or contractual change takes effect.

You agree that operational and legal notices may be provided electronically through the app, account interface, email or website. Optional marketing communications remain subject to the applicable communication preference.

25. International use and trade compliance

The Service may not be available or lawful in every jurisdiction. You are responsible for complying with laws that apply to your own use, except where responsibility cannot lawfully be shifted to you.

You may not use, export, re-export, transfer or make the Service available in a manner that violates applicable sanctions, embargoes, export controls or restricted-party rules.

26. Disclaimers

To the maximum extent permitted by law, the Service is provided as is and as available. MedaStaré disclaims warranties and conditions that may lawfully be disclaimed, including implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, availability and uninterrupted operation.

MedaStaré does not promise that every feature, recommendation, AI output, match, ranking, challenge, provider connection or third-party integration will always be available, error-free, secure, compatible, unique or suitable for a particular purpose.

Nothing in this section excludes a statutory warranty, consumer guarantee or other right that cannot legally be excluded.

27. Limitation of liability

To the maximum extent permitted by law, MedaStaré and its directors, officers, employees, contractors, licensors and service providers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, opportunity, goodwill or data, arising from or relating to the Service, even if the possibility of such loss was known.

To the maximum extent permitted by law, MedaStaré's total aggregate liability arising from the Service or these Terms will not exceed the greater of US$100 or the amount you paid to MedaStaré for the Service during the twelve months immediately before the event giving rise to the claim.

The limitations do not apply to liability that cannot legally be limited or excluded, including any liability protected by mandatory consumer law or arising from fraud, willful misconduct or another non-excludable category.

Creator payouts, campaign obligations, prize obligations or business-to-business liabilities governed by separate written terms are subject to the limitations, remedies and caps stated in those specific terms rather than this consumer-facing limitation where the specific terms so provide.

28. Indemnity

To the extent permitted by law, you agree to defend, indemnify and hold harmless MedaStaré and its affiliates, officers, employees and contractors from third-party claims, losses and reasonable costs arising from your unlawful content, infringement of another person's rights, fraud, willful misconduct, manipulation of the Service or material breach of these Terms.

This obligation does not apply to the extent a claim was caused by MedaStaré or where applicable consumer law prohibits the obligation.

29. Governing law and disputes

These Terms and noncontractual claims relating to the Service are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, except that mandatory consumer protections and mandatory jurisdiction rights of your usual residence remain applicable.

Before filing a claim, you and MedaStaré agree to make a reasonable good-faith effort to resolve the matter through written notice, unless applicable law gives you a right to proceed directly or urgent relief is reasonably necessary.

Subject to mandatory consumer-jurisdiction rules, state and federal courts located in Delaware have exclusive jurisdiction over disputes arising from these Terms. Nothing prevents either party from seeking urgent relief to protect safety, security, confidential information or intellectual property, or from using an available small-claims process.

These Terms do not impose mandatory arbitration and do not waive a right to participate in a class or representative proceeding where such a waiver would require separate consent or would be unenforceable.

30. General terms

• These Terms, the Privacy Policy, Subscription Terms and any applicable feature-specific terms form the agreement governing the relevant Service activity.
• If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions remain effective.
• A delay in enforcing a right is not a waiver of that right.
• You may not assign these Terms without MedaStaré's written consent. MedaStaré may assign them in connection with a merger, financing, reorganization, corporate restructuring or sale, subject to applicable law.
• MedaStaré is not responsible for delay or failure caused by events beyond its reasonable control, including infrastructure failure, major provider outage, natural disaster, war, labor disruption, public-health event or government action, except where mandatory law provides otherwise.
• Headings are for convenience and do not limit the meaning of a provision.
• English is the controlling version to the extent permitted by law. A legally required local-language version may control in the jurisdiction where the law requires it.
